Galderma to Acquire ZO Skin Health for $1.5 Billion to Expand Dermatology Portfolio

By Emma Rose •

Strategic Vision and Market Growth

The transaction involves the purchase of 100% of the company's shares. Completion is expected between the fourth quarter of 2026 and early 2027, pending regulatory approvals and standard closing conditions. ZO Skin Health, a science-based brand distributed exclusively through medical professionals, generated approximately $330 million in net sales for the 12 months ending June 2026. Its distribution network reaches over 16,500 physicians, medical spas, and online accounts across more than 40 countries.

Flemming Ørnskov, CEO of Galderma, described the acquisition as a vital step toward building the world’s most innovative dermatology portfolio. He highlighted the brand's strong clinical credentials and its trusted reputation among dermatologists and plastic surgeons. „We see major opportunities to reignite its growth through investments in innovation and expanding our commercial presence,”Ørnskov stated. He believes this acquisition positions Galderma to compete effectively in the rapidly expanding medical skincare market.

The deal will be financed entirely through cash, utilizing available company funds and bank financing. Lazard is serving as the lead financial advisor, with JP Morgan providing additional financial guidance and Ropes & Gray LLP acting as legal counsel. Galderma plans to increase commercial investments during the first year of ownership to lay the groundwork for accelerated growth starting in the second year.

Synergy and Professional Legacy

ZO Skin Health will join Galderma’s established brands, including Cetaphil and Alastin. Founded in 2007 by dermatologist Dr. Zein Obagi, the brand offers professional, clinically backed skincare. Its focus on retinol and acid-based daily regimens complements the peptide-based, regenerative offerings of the Alastin line.

Dr. Obagi praised Galderma’s dedication to dermatology and its global partnership with healthcare professionals. „I am confident that I have found a place where our philosophy will survive and grow for the benefit of dermatologists, plastic surgeons, aestheticians, and the patients we serve,”he noted.

Financially, the acquisition is expected to be slightly dilutive to Galderma’s core EBITDA margin in 2027. The company anticipates reaching a margin comparable to the group average by 2028, reflecting a disciplined approach to integrating the new entity into its consolidated results.
